I. LICENSE GRANT.

When you purchase or subscribe to ACE.Pro, we grant you a non-exclusive, non-transferable, revocable license to use the software on devices you own or control, subject to the terms outlined herein.

This license permits you to:

Install and use ACE.Pro on multiple personal devices (up to the limit specified by your plan).
Use ACE.Pro for both personal and commercial creative work.
Receive software updates and security patches during your subscription period.

The license does NOT grant you ownership of the software, source code, algorithms, or intellectual property. You are licensing the right to use, not to own.

II. SUBSCRIPTION & PAYMENT.

ACE.Pro is offered as a subscription service. When you subscribe, you agree to the following payment terms:

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Payment Methods: We accept major credit cards and PayPal. All payments are processed securely through Stripe.
Price Changes: We may adjust pricing with 30 days advance notice. Existing subscribers will be grandfathered at their current rate.
Refund Policy: Full refund within 14 days, no questions asked. After 14 days, annual subscriptions receive pro-rated refunds.

III. ACCEPTABLE USE.

ACE.Pro is a tool for managing your creative files. You agree not to use it for purposes that are illegal, harmful, or violate the rights of others.

Prohibited uses include:

Managing or facilitating distribution of illegal content (pirated media, malware, etc.).
Circumventing digital rights management (DRM) protections.
Using the software to damage or impair ACE.Pro's infrastructure.
Attempting unauthorized access to other users' accounts or systems.

Violation of these terms may result in immediate termination of your license without refund.

Usage Guidelines

• Organizing personal photos, videos, and media

• Managing project files for music or film work

• Cleaning up duplicate files and reclaiming storage

• Auditing drives for integrity and health

• Streamlining your creative workflow

✗ Prohibited Uses

• Organizing pirated or illegally obtained content

• Any activity involving illegal materials

• Circumventing DRM or copy protection

• Attacking or exploiting our infrastructure

• Violating others' intellectual property rights

Violations may result in immediate termination.

Limitation of Liability

We are not liable for indirect or consequential damages. Our total liability is limited to the amount you paid.

Jurisdiction

These terms are governed by the laws of Japan.

IV. LIABILITY & WARRANTY.

We work hard to ensure ACE.Pro is reliable. However, software is complex. By using ACE.Pro, you acknowledge:

No Warranty: The software is provided "as is." We make no guarantees regarding fitness for a particular purpose.
Data Loss: We're not responsible for data loss from bugs or hardware failures. Always maintain independent backups.
Limited Liability: Our maximum liability is limited to the amount you paid in the preceding 12 months.

This limitation applies to the fullest extent permitted by law.

V. HYBRID ARCHITECTURE & DATA.

ACE.Pro operates as a hybrid system: a cloud-based web interface combined with a locally-installed "Neural Link" engine running on your machine.

Local Processing: All file scanning, analysis, and cleanup operations occur locally on your device. Your files never leave your machine.
Local Engine Installation: By installing the ACE.Pro Neural Link, you grant the local engine permission to read and manage files on your storage devices.
Anonymized Telemetry: We collect aggregated, anonymized usage data (e.g., total files scanned, storage reclaimed) to improve the product. No file names or personal data are transmitted.
Cloud Features: Authentication, account management, and AI recommendations are processed in the cloud. See our Privacy Policy for details.

• Deleted/cleaned file records
